Use the Platform to look for jobs, connect professionally and share career content. Be honest, respectful and follow the Platform rules. We don't guarantee jobs and we're not your employer. These Terms of Use ("Terms", "Agreement") constitute a legally binding agreement between you ("User", "you", "your") and Gulf Return managed by Sheruh, a company incorporated under the Companies Act, 2013, having its registered office at [-] ("Company", "we", "us", "our", "Platform"). By accessing, browsing, or using our job and professional social networking platform accessible via www.gulfreturn.com and associated mobile applications (collectively, the "Platform" or "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, other associated Policies and all applicable laws and regulations of India.

These Terms are published in compliance with:

  • The Information Technology Act, 2000 and rules made thereunder, including the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, as amended.
  • The Digital Personal Data Protection Act, 2023 and the Digital Personal Data Protection Rules, 2025.
  • The Consumer Protection Act, 2019 and the Consumer Protection (E-Commerce) Rules, 2020.
  • The Indian Contract Act, 1872.
  • The Indian Penal Code, 1860 / Bharatiya Nyaya Sanhita, 2023 (as applicable).
  • Any other applicable laws, rules, regulations, and guidelines as may be notified from time to time.

DEFINITIONS AND INTERPRETATION

Definitions

Unless the context otherwise requires, the following terms shall have the meanings assigned to them:
Account

means the user account created by you on the Platform to access and use the Services.

Applicable Laws

means all laws, statutes, ordinances, regulations, rules, guidelines, policies, directions, orders, and judgments of any governmental authority applicable to the Platform and/or the Users.

Content

means any information, data, text, graphics, photographs, images, audio, video, messages, profiles, job listings, applications, reviews, feedback, or other materials uploaded, posted, transmitted, or otherwise made available through the Platform.

Data Fiduciary

shall have the meaning ascribed to it under the Digital Personal Data Protection Act, 2023, and in relation to the Platform, refers to the Company.

Data Principal

shall have the meaning ascribed to it under the Digital Personal Data Protection Act, 2023, and in relation to the Platform, refers to the User whose personal data is being processed.

Employer

means any individual, company, firm, organisation, or entity that uses the Platform for the purpose of posting job opportunities, recruiting candidates, or accessing professional profiles.

Grievance Officer

means the officer appointed by the Company under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and the Consumer Protection (E-Commerce) Rules, 2020.

Intellectual Property Rights

includes patents, copyrights, trademarks, service marks, trade names, design rights, database rights, moral rights, and any other intellectual property rights, whether registered or unregistered, and all applications and rights to apply for any of the foregoing.

Job Seeker

means any individual who uses the Platform for the purpose of searching for employment opportunities, applying for jobs, or creating a professional profile.

Personal Data

shall have the meaning ascribed to it under the Digital Personal Data Protection Act, 2023.

Platform

means the website accessible at www.gulfreturn.com, mobile applications, and any other digital medium through which the Services are offered.

Services

means all features, functionalities, tools, and services offered through the Platform, including but not limited to job posting, job search, professional networking, profile creation, messaging, and related services.

Third Party

means any person or entity other than the User and the Company.

User or Users

means any person who accesses or uses the Platform, including Job Seekers, Employers, and any other category of users.

User Content

means any Content that Users submit, post, upload, publish, or transmit through the Platform.

Interpretation

  • References to any statute or statutory provision include any subordinate legislation made under it and any subsequent amendment or re-enactment thereof.
  • Words importing the singular include the plural and vice versa; words importing any gender include all genders.
  • Headings are for convenience only and shall not affect the interpretation of these Terms.
  • The terms "include", "including", "in particular" and similar expressions shall be construed as illustrative and without limitation.

Policy Hierarchy

These Terms, together with the User Agreement, Privacy and Data Protection Policy, Cookie and Consent Management Policy, Community Guidelines, Data Security, Breach and Retention Policy, Grievance Redressal Policy, and any other policies, guidelines, or notices published by the Company on the Platform from time to time (collectively, the "Platform Policies"), constitute a legally binding agreement between the User and the Company. In the event of any inconsistency or conflict between the Platform Policies, the following order of precedence shall apply, unless expressly stated otherwise: (a) User Agreement (b) Terms of Use (c) Privacy and Data Protection Policy The provisions of the document higher in the order of precedence shall prevail to the extent of such inconsistency. Continued access to or use of the Platform constitutes acceptance of all Platform Policies as amended from time to time. In the event of any inconsistency or conflict arising with regards to the Personal Data, then the PRIVACY AND DATA PROTECTION POLICY shall prevail over all other policies of the Company.

ELIGIBILITY AND ACCOUNT REGISTRATION

Eligibility Criteria

To use the Platform, you must:

  • Be at least eighteen (18) years of age and competent to enter into a binding contract under the Indian Contract Act, 1872. Persons below the age of 18 years are prohibited from using this Platform.
  • Not be a person barred from receiving services under the laws of India or any other applicable jurisdiction.
  • Have the legal capacity and authority to accept these Terms.
  • Provide accurate, current, and complete information during registration and maintain the accuracy of such information.
  • If registering on behalf of an organization, have the authority to bind such organization to these Terms.

Account Registration

  • To access certain features of the Platform, you must create an Account by providing requested information including your name, email address, contact number, and such other details as may be required.
  • You are responsible for maintaining the confidentiality of your Account credentials and for all activities that occur under your Account.
  • You shall immediately notify us of any unauthorized use of your Account or any other breach of security.
  • We reserve the right to refuse registration, terminate Accounts, remove or edit Content, or cancel orders at our sole discretion.
  • One person or entity shall not maintain more than one Account. Creating multiple accounts may result in termination of all Accounts.

Visitor Access (what non-registered users can do)

Some parts of the Platform are viewable without an Account (e.g., public job listings or articles). Visitors cannot apply to jobs, message other users, or access protected features. To use interactive features, you must register and accept the User Agreement.

Employer Verification and KYC

Employers, recruiters, and organisations may be required to complete identity and business verification (KYC) before posting jobs or accessing recruiter tools. The Company may suspend or disable job postings, recruiter accounts, or access to candidate data pending completion of verification where there are reasonable grounds to suspect fraud, misrepresentation, or misuse.

DESCRIPTION OF SERVICES

Platform Services

The Platform provides the following services, which may be modified, updated, or discontinued at our discretion:

  • Job Posting Services: Enabling Employers to post job vacancies, requirements, and recruitment information.
  • Job Search Services: Enabling Job Seekers to search, view, and apply for job opportunities.
  • Professional Profile Services: Enabling Users to create, maintain, and share professional profiles including employment history, skills, qualifications, and achievements.
  • Professional Networking Services: Enabling Users to connect, communicate, and network with other professionals.
  • Messaging Services: Enabling communication between Users through the Platform.
  • Content Sharing: Enabling Users to share professional content, articles, and updates.
  • Premium Services: Paid features and enhanced services as may be offered from time to time.

Service Availability

  • We endeavour to ensure that the Platform is available at all times. However, we do not guarantee uninterrupted or error-free operation of the Platform.
  • We reserve the right to suspend or discontinue any Service without prior notice for maintenance, upgrades, or any other reason.
  • We shall not be liable for any loss or damage arising from any unavailability or interruption of the Platform or Services.
  • We shall not facilitate, supervise or participate in any transactions arising from such job posting services and/or job networking services.

Third-Party Services

The Platform may integrate with third-party services. We are not responsible for third-party terms or content for full details see the User Agreement (Third-Party Services and Integrations).

USER OBLIGATIONS AND CONDUCT

General Obligations

By using the Platform, you agree to:

  • Comply with all Applicable Laws, including without limitation the Information Technology Act, 2000 and rules made thereunder.
  • Provide accurate, truthful, and complete information in your profile and communications.
  • Maintain the confidentiality and security of your Account credentials.
  • Use the Platform only for lawful purposes and in accordance with these Terms.
  • Respect the rights, privacy, and dignity of other Users.
  • Not use the Platform for any commercial purpose other than legitimate job-seeking or recruitment activities.
  • Promptly update your information to maintain its accuracy.

Prohibited Conduct

You shall not, directly or indirectly:

Post, upload, or transmit any Content that:

  • is defamatory, obscene, pornographic, paedophilic, invasive of another's privacy, hateful, racially or ethnically objectionable, disparaging, or otherwise unlawful.
  • harms minors in any way.
  • infringes any patent, trademark, copyright, or other proprietary rights.
  • violates any law for the time being in force.
  • deceives or misleads the addressee about the origin of the message or communicates any information which is grossly offensive or menacing in nature.
  • impersonates another person.
  • contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer resource.
  • threatens the unity, integrity, defence, security, or sovereignty of India, friendly relations with foreign states, or public order, or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or is insulting any other nation.

Other Prohibited Activities:

  • Use the Platform to engage in any form of harassment, stalking, or intimidation.
  • Collect or store personal data about other Users without their express consent.
  • Use any automated means, including robots, crawlers, or scrapers, to access the Platform or collect data.
  • Attempt to gain unauthorized access to any part of the Platform, other Accounts, or any systems or networks connected to the Platform.
  • Interfere with or disrupt the operation of the Platform or servers or networks connected to the Platform.
  • Post fake job listings, fraudulent employment opportunities, or misleading recruitment information.
  • Solicit money or other consideration from Users under false pretences.
  • Engage in any pyramid schemes, multi-level marketing, or similar activities.
  • Discriminate against any User based on race, religion, caste, gender, sexual orientation, disability, or any other protected characteristic.
  • Circumvent or attempt to circumvent any security measures or access controls of the Platform.

Compliance with IT Act and Rules

In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, you acknowledge and agree that: (a) You shall not host, display, upload, modify, publish, transmit, store, update, or share any information that falls within the categories of prohibited content as specified in Rule 3(1)(b) of the said Rules. (b) We may remove or disable access to any Content that violates these Terms or Applicable Laws. (c) We may disclose your information to government agencies as required by law. (d) Non-compliance with these Terms may result in termination of your access to the Platform and may expose you to civil and/or criminal liability.

Ratings and reviews

If the Platform enables ratings or reviews, users must post honest and non-defamatory feedback. Paid or incentivised endorsements must be clearly disclosed. We may remove reviews that violate these rules.

PRIVACY AND DATA PROTECTION

Privacy Policy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated herein by reference. By using the Platform, you consent to the collection, use, storage, and processing of your personal data as described in the Privacy Policy.

Compliance with DPDP Act

In accordance with the Digital Personal Data Protection Act, 2023 and the Digital Personal Data Protection Rules, 2025: (a) The Company acts as the Data Fiduciary for the personal data collected through the Platform. (b) We process your personal data only for lawful purposes with your consent or for other legitimate uses as permitted under the Act. (c) We implement reasonable security safeguards to protect personal data against unauthorized access, use, modification, disclosure, or destruction. (d) We shall notify you and the Data Protection Board of India in the event of any personal data breach, in accordance with Applicable Laws. (e) We shall retain your personal data only for the period necessary to fulfil the purposes for which it was collected, or as required by law.

Breach Notification and Reporting

The Company will notify the Data Protection Board of India (DPBI) without undue delay and will provide a detailed report within 72 hours of becoming aware of any personal data breach, wherever feasible. If the breach is likely to result in high risk to Data Principals, the Company will also inform affected Data Principals without undue delay (and in any event as soon as reasonably practicable). The reported details will include the nature of the breach, categories and approximate number of Data Principals affected, likely consequences, and measures taken or proposed to mitigate the breach.

Your Rights as Data Principal

As a Data Principal under the DPDP Act, you have the following rights:

  • Right to Access: You may request information about your personal data that is being processed, a summary of the processing activities, and the identities of all Data Fiduciaries and Data Processors with whom your data has been shared.
  • Right to Correction and Erasure: You may request correction of inaccurate or misleading personal data, completion of incomplete personal data, updating of personal data, and erasure of personal data no longer necessary for the purpose for which it was collected.
  • Right to Grievance Redressal: You may raise grievances regarding the processing of your personal data with our Grievance Officer.
  • Right to Nominate: You may nominate another individual to exercise your rights in the event of your death or incapacity.
  • Right to Withdraw Consent: You may withdraw your consent at any time. However, such withdrawal shall not affect the lawfulness of processing based on consent before its withdrawal. Upon withdrawal of consent, we may cease to provide certain Services to you.

Data Subject Requests (Access/Correction/Erasure/Portability)

Data Processing and Transfer

  • We may engage Data Processors to process personal data on our behalf, subject to appropriate contractual safeguards.
  • Your personal data may be transferred to jurisdictions outside India, subject to compliance with the transfer restrictions under the DPDP Act and any notifications issued by the Central Government.
  • We shall not transfer personal data to any country or territory notified by the Central Government as restricted for such transfers.

Your Duties as Data Principal

As a Data Principal, you have the following duties under the DPDP Act: (a) To comply with all Applicable Laws while exercising your rights. (b) To not register a false or frivolous grievance or complaint. (c) To not furnish any false particulars or suppress any material information while providing personal data for any document, unique identifier, proof of identity, or proof of address. (d) To not impersonate another person while providing personal data.

Data Processors and Sub-processors

We engage processors to perform specific services on our behalf. All processors must process personal data only on our documented instructions and implement appropriate technical and organisational measures. Processors must (i) notify the Company without undue delay of any personal data breach; (ii) assist the Company to meet its data-subject request and breach obligations; and (iii) delete or return personal data upon contract termination. We will publish a list of material sub-processors on the Platform and will provide notice prior to engaging new material sub-processors.

Automated Decisioning and Profiling

To provide job matching and recommendation features, the Platform uses automated decisioning (including ranking and profiling). Data Principals have the right to request: (a) an explanation of the logic involved; (b) details of the data used; and (c) a human review of automated outputs that materially affect them. Requests will be acknowledged within 7 days and processed within 90 days. We and our partners use cookies and similar tech to run the site and personalise content. INTELLECTUAL PROPERTY RIGHTS

Platform IP

  • All Intellectual Property Rights in and to the Platform, including but not limited to the design, layout, look and feel, graphics, images, logos, trademarks, software, source code, and all Content created by us (excluding User Content), are owned by or licensed to the Company.
  • Nothing in these Terms shall be construed as granting any license or right to use any of our Intellectual Property Rights without our prior written consent.
  • You shall not copy, reproduce, republish, upload, post, transmit, or distribute the Platform or any Content in any manner without our prior written consent.

User Content License

  • You retain ownership of the Intellectual Property Rights in your User Content.
  • By posting User Content on the Platform, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, publicly display, and create derivative works from such User Content for the purpose of operating and providing the Services.
  • You represent and warrant that you own or have the necessary rights and permissions to grant the above license, and that your User Content does not infringe the rights of any third party.

Feedback

Any feedback, suggestions, ideas, or other information provided by you regarding the Platform or Services shall be deemed non-confidential, and we shall be free to use such feedback without any obligation to you.

PAYMENTS AND REFUNDS

Premium Services

  • Certain features or Services on the Platform may be offered on a paid basis ("Premium Services").
  • The fees, payment terms, and other conditions applicable to Premium Services shall be displayed on the Platform at the time of purchase.
  • All fees are exclusive of applicable taxes, which shall be charged additionally as per Applicable Laws.

Payment Methods

  • We accept payment through such methods as may be specified on the Platform, including credit/debit cards, net banking, UPI, and other payment gateways.
  • Payment processing services are provided by third-party payment service providers. Your use of such services is subject to the terms and conditions of such providers.
  • We shall not be liable for any issues arising from or related to payment processing by third-party providers.

Payment Scope

Any payments made to the Company relate exclusively to Platform access, subscriptions, or premium functionalities. The Company neither acts as a party, agent, broker, nor facilitatorto any listing, communication, engagement, or transaction between Users and does not assume responsibility for the performance, quality, legality, or outcome of any such user-to-user interactions. Users acknowledge that the Company's role is limited to providing access to the Platform and does not extend to monitoring, verifying, or enforcing user-to-user transactions.

Refund Policy

  • Refunds, if any, shall be processed in accordance with our Refund Policy as published on the Platform.
  • Refund requests shall be processed within the timelines specified in the Refund Policy or as mandated by the Reserve Bank of India.
  • We reserve the right to modify the Refund Policy at any time, with such modifications being effective upon posting on the Platform.

DISCLAIMERS AND LIMITATION OF LIABILITY

No Guarantee of Employment

  • The Platform is a marketplace connecting Job Seekers with Employers. We do not guarantee employment to any Job Seeker or guarantee that any Employer will find suitable candidates.
  • We are not responsible for the accuracy, reliability, or quality of any job listings, profiles, or other Content posted by Users.
  • We do not verify the credentials, qualifications, or background of Users unless expressly stated.
  • Users are advised to conduct their own due diligence before entering into any employment relationship.

Disclaimer of Warranties

  • THE PLATFORM AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
  • WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.
  • WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION PROVIDED THROUGH THE PLATFORM.
  • ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE PLATFORM IS ACCESSED AT YOUR OWN DISCRETION AND RISK.
  • CONTENT CONCERNING EMPLOYMENT, BUSINESS OPPORTUNITIES, SERVICES, INVESTMENTS, OR FINANCIAL MATTERS IS PROVIDED BY THIRD-PARTY USERS FOR INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE PROFESSIONAL, FINANCIAL, LEGAL, CAREER, OR INVESTMENT ADVICE. THE COMPANY MAKES NO REPRESENTATIONS REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF SUCH CONTENT AND DISCLAIMS ALL LIABILITY FOR DECISIONS MADE IN RELIANCE THEREON.

Delays, Dependencies, and Infrastructure Limitations

The Company shall not be liable for any delays, interruptions, or failures in the Platform's availability or performance, regardless of cause, including but not limited to:

  • Internal operational delays in processing requests, verifying accounts, reviewing content, responding to inquiries, issuing refunds, or performing any other operational tasks, which may be affected by volume, complexity, resource availability, or other operational factors.
  • Third-party service dependencies, including failures or limitations of cloud infrastructure providers, database services, payment processors, email/SMS services, authentication providers, content delivery networks, or any other external services upon which the Platform relies.
  • Infrastructure limitations, including server capacity constraints, bandwidth limitations, database performance issues, network connectivity problems, or technical limitations of underlying systems.
  • Force majeure events and circumstances beyond the Company's reasonable control, including natural disasters, pandemics, war, terrorism, government actions, cyberattacks, telecommunications failures, power outages, or internet infrastructure failures.
  • Scheduled or emergency maintenance, upgrades, security measures, or service modifications performed with or without advance notice.

Limitation of Liability

For full details on disclaimers and limitation of liability, including any monetary caps, see the User Agreement (Section 9).

Intermediary Status

  • The Company operates as an intermediary as defined under Section 2(1)(w) of the Information Technology Act, 2000.
  • We do not initiate the transmission of any Content, select the receivers of such transmission, or select or modify the information contained in such transmission.
  • Subject to compliance with the due diligence requirements under the IT Act and the IT Rules, we shall not be liable for any User Content hosted on the Platform.

INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the Company, its affiliates, directors, officers, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) Your use of the Platform or Services. (b) Your User Content. (c) Your violation of these Terms. (d) Your violation of any Applicable Laws or the rights of any third party. (e) Any employment decisions made based on information obtained through the Platform. (f) Any dispute between you and any other User of the Platform.

TERMINATION

Termination by User

You may terminate your Account at any time by following the account deletion process on the Platform or by contacting us at [email address]. Upon termination, you shall no longer have access to your Account or any Content associated with it.

Termination by Company

We may suspend or terminate your Account and/or access to the Platform at any time, with or without cause, and with or without notice, for reasons including but not limited to: (a) Violation of these Terms or any Applicable Laws. (b) Conduct that we determine, in our sole discretion, to be harmful to other Users, third parties, or the Platform. (c) Request by law enforcement or other government agencies. (d) Unexpected technical or security issues. (e) Extended periods of inactivity. (f) Non-payment of any fees owed to us.

Effect of Termination

  • Upon termination, your right to use the Platform shall immediately cease.
  • We may, at our discretion, retain or delete your User Content in accordance with our data retention policies and Applicable Laws.
  • Termination shall not affect any rights or obligations that have accrued prior to termination.
  • The provisions of these Terms that by their nature should survive termination shall survive, including without limitation intellectual property provisions, disclaimers, indemnification, and limitations of liability.

Temporary suspensions

We may temporarily suspend Accounts pending investigations. A temporary suspension is not a determination of wrongdoing. If the Account is reinstated, we will notify you; if not, termination procedures will apply.

GRIEVANCE REDRESSAL MECHANISM

Complaint Procedure

Any User may lodge a complaint with the Grievance Officer regarding any Content that violates these Terms, any infringement of rights, or any issue related to the processing of personal data. Complaints must be submitted in writing via email or through the complaint form available on the Platform. Each complaint must include: (a) Your name and contact details. (b) A description of the issue or complaint. (c) Relevant evidence or documentation supporting your complaint. (d) A statement that the information provided is accurate to the best of your knowledge.

Resolution Timeline

  • The Grievance Officer shall acknowledge the receipt of your complaint within twenty-four (24) hours.
  • The Grievance Officer shall resolve the complaint within fifteen (15) days from the date of receipt, or within such extended period as may be required for complex issues, not exceeding thirty (30) days.
  • For complaints related to personal data processing under the DPDP Act, we shall respond within seven (7) days with information on the action taken or proposed to be taken.

Escalation

If you are not satisfied with the resolution provided by the Grievance Officer, you may escalate the matter to the appropriate regulatory authorities, including the Data Protection Board of India for matters relating to personal data, or the Consumer Disputes Redressal Commissions for consumer-related grievances.

GOVERNING LAW AND DISPUTE RESOLUTION

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Dispute Resolution

  • Any dispute, controversy, or claim arising out of or relating to these Terms, including the validity, invalidity, breach, or termination thereof, shall first be attempted to be resolved amicably through negotiations between the parties.
  • If the dispute is not resolved within thirty (30) days of commencement of negotiations, either party may refer the dispute to arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended.
  • The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties, or in the absence of mutual agreement, appointed in accordance with the provisions of the Arbitration and Conciliation Act, 1996.
  • The seat and venue of arbitration shall be Hyderabad, India.
  • The arbitration proceedings shall be conducted in English.
  • The award of the arbitrator shall be final and binding on both parties.

Jurisdiction

Subject to the arbitration clause above, the courts of Hyderabad, India shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.

Consumer Forum Rights

Notwithstanding the above, nothing in these Terms shall prevent any User from approaching the Consumer Disputes Redressal Commissions established under the Consumer Protection Act, 2019 for the resolution of consumer disputes.

MODIFICATIONS TO TERMS

(a) We reserve the right to modify, amend, or update these Terms at any time at our sole discretion. (b) We shall notify you of any material changes by posting the revised Terms on the Platform and updating the "Last Updated" date. For significant changes, we may also notify you via email or through the Platform. (c) Your continued use of the Platform after the posting of revised Terms constitutes your acceptance of such revised Terms. (d) If you do not agree with the modified Terms, you must discontinue using the Platform and terminate your Account. (e) It is your responsibility to review these Terms periodically for any updates.

GENERAL PROVISIONS

Entire Agreement

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and the Company regarding your use of the Platform and supersede all prior agreements, understandings, and communications, whether written or oral.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

Waiver

No failure or delay by the Company in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or remedy preclude any other or further exercise thereof.

Assignment

  • You may not assign, transfer, or delegate these Terms or any of your rights or obligations hereunder without our prior written consent.
  • We may assign these Terms or any of our rights or obligations hereunder to any third party without your consent, including in connection with any merger, acquisition, or sale of assets.

Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, pandemics, strikes, or failures of third-party telecommunications or power supply.

No Agency

Nothing in these Terms shall be construed as creating any agency, partnership, joint venture, employment, or franchise relationship between you and the Company.

Language

These Terms are drafted in English. In the event of any translation, the English version shall prevail in case of any conflict or inconsistency.

  • Any notices to be given under these Terms by the Company to you may be given by email to the email address registered with your Account, or by posting on the Platform.
  • Any notices to be given by you to the Company must be sent to the address or email specified in these Terms or on the Platform.
